Plain-English summary: AXIS is licensed for local internal business use. Your data stays with you in normal use. Support is by email. AXIS is a decision-support tool, not legal, accounting, tax, audit or regulated financial advice.
These terms are between Meridion Group Ltd ("Meridion", "we", "our", "us") and the business customer or individual customer acquiring the right to use AXIS ("Customer", "you", "your").
AXIS is decision-support software designed to help a customer review business conditions using the customer's own data on the customer's own systems.
Unless expressly agreed otherwise in writing, AXIS is licensed for local use by the Customer and does not require routine transfer of the Customer's business data to Meridion.
Where offered, AXIS may be provided on a 30-day free trial basis. The trial begins on the date AXIS or the relevant trial access is first made available to you, unless we state otherwise in writing.
After the trial, continued use of AXIS requires a paid licence unless we agree otherwise in writing.
Unless a different commercial term is stated in writing, a paid AXIS licence is granted for 12 months from the start date confirmed by Meridion.
Subject to these terms and any applicable fee being paid, Meridion grants you a limited, non-exclusive, non-transferable, revocable licence to use AXIS for your own internal business purposes during the agreed term.
You may not sublicense, resell, distribute, publish, lease, lend or otherwise make AXIS available to third parties unless Meridion has agreed that in writing.
You are responsible for your own systems, devices, local environment and data.
In normal use, your business data remains under your own control. Meridion does not require routine access to your business data for you to use AXIS locally.

Support is provided by email unless we agree a different support arrangement in writing.
If you email us for support, please do not send passwords, bank details, payment card data or unnecessary personal data. Where possible, anonymise screenshots or example data before sending them.
Meridion may use the information you send only as reasonably necessary to understand the issue and respond.
Licence fees, renewal terms and any applicable taxes will be the amounts stated on the website, invoice, order email or other written commercial communication from Meridion.
If a paid licence is not renewed, your right to use AXIS ends at the end of the paid term unless we agree otherwise in writing.
Meridion may suspend or terminate access or support for non-payment, subject to any mandatory rights you may have under applicable law.
You must not, except where the law clearly permits it despite this restriction:
AXIS, including its software, structure, methodology, classification logic, wording, design, layout, branding and underlying know-how, remains the intellectual property of Meridion or its licensors.
These terms give you a licence to use AXIS; they do not transfer ownership of AXIS to you.
You retain ownership of your own data.
AXIS is a decision-support tool. It is designed to help you review and interpret business conditions using your own data.
AXIS does not provide legal advice, accounting advice, tax advice, regulated financial advice, audit services, assurance services, implementation support or guaranteed business outcomes.
You remain solely responsible for your own decisions, actions, implementation and outcomes.
Because AXIS is provided as software and may continue to evolve, Meridion may release updates, fixes, refinements or changes from time to time.
We do not promise that AXIS will be error-free, uninterrupted, suitable for every workflow or compatible with every device, operating system or local environment.
Where practical, we may modify documentation, feature descriptions or support materials as AXIS develops.
To the fullest extent permitted by law, AXIS is provided "as is" and "as available". Meridion does not give any guarantee that AXIS will identify every issue, produce every desired result, or be suitable for every business purpose.
Nothing in these terms limits any non-excludable rights you may have under applicable law.
Meridion will use reasonable care and skill in providing AXIS and related support.
To the fullest extent permitted by law:
Meridion is not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of goodwill, loss of opportunity, business interruption, data loss caused outside Meridion's control, or losses arising from your own decisions or your own data quality.
Nothing in these terms limits liability where it cannot legally be limited.
Your licence ends automatically at the end of the relevant trial or paid term unless renewed or extended in writing.
Meridion may terminate or suspend the licence sooner if you materially breach these terms, fail to pay applicable fees, or use AXIS in a prohibited way.
On termination or expiry, you must stop using AXIS unless continuing use is expressly permitted in writing.
Each party should treat the other party's non-public business and technical information as confidential and should not disclose it except where reasonably necessary to perform these terms, where required by law, or where the other party has agreed.
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them, unless applicable consumer law requires otherwise.
